Say "corporate proxy" and most people’s eyes glaze over, except those of MTD Editor Bob Ulrich, who has scoured Cooper Tire & Rubber Co.’s proxy materials for intimate details on the merger with Apollo Tyre Ltd.

And he found some! Among his findings: It would cost Apollo $112.5 million to pull out of the deal.
